Keith Kelly is Lead Director of the Board of Directors, and a Shareholder. Mr. Kelly is currently Vice-President for the Charlotte Chamber of Commerce and handles public policy matters. Prior to joining the Chamber, he served as District Director for U.S. Congresswoman Alma Adams and former U.S. Congressman Melvin Watt. In that role, he routinely handled constituent matters involving the U.S. Government and federal agencies. Mr. Kelly also served as Communications Director and Administrative Assistant to Congressman Melvin Watt. He has a wealth of experience with the federal legislative process and working with members of Congress on a wide range of issues.  Mr. Kelly earned a Bachelor's degree in Political Science and African American Studies from Duke University. As Lead Director, he oversees governance of the Board of Directors. Mr. Kelly is also Chairman of the Nominating and Governance Committee and a member of the Audit Committee for Guess & Co. Corporation.

Mitchell M. Cohen is a member of the Board of Directors and Chairman of the Audit Committee and a Shareholder. Mr. Cohen is CEO of Pursuit Management LLC, a New York based investment firm that operates a private asset purchasing platform. He has more than 30 years of financial, operations and general business experience as a senior executive at several public and private companies.  He is the former interim Chief Financial Officer of a publicly traded investment management company and the Special Trustee of Consumer Debt Trust, a trust established to acquire distressed debt. Mr. Cohen spent five years as the Chief Financial Officer and Secretary of Asta Funding, Inc., a publicly traded company that acquires and liquidates distressed consumer receivables.  During his tenure, Mr. Cohen assisted in acquiring approximately $15 billion of consumer receivables for liquidation, completed several mergers, and managed a portfolio of over 300 pools of distressed assets.  In recent years, he has underwritten, and sourced for investors, pools totaling over $300 million.

Jon Shelton is Deputy Chairman of the Board of Directors and a Shareholder. Jon Shelton retired from the United States Secret Service as a Special Agent after 20 years of service. During his tenure with the United States Secret Service, Mr. Shelton protected many U.S. Presidents and investigated numerous financial crimes. He handled thousands of complex criminal cases including fraud, embezzlement, identity theft, money laundering, cybercrime and counterfeiting. His efforts resulted in those cases being prosecuted by the U.S. Attorney's Office. Mr. Shelton was assigned to work in Atlanta, Georgia, Charlotte, North Carolina, Raleigh, North Carolina and Washington, D.C.  Prior to joining the United States Secret Service, Mr. Shelton was a police officer with the Cobb County Police Department. Mr. Shelton earned a Bachelor's degree in Criminal Justice from East Carolina University. Mr. Shelton joined Guess & Co. Corporation initially as Special Adviser. In that role, he assisted the Board of Directors and senior executive management with making major decisions. Mr. Shelton holds an active Top Secret Security/SCI Clearance with the U.S. Government. He is currently the Chief Executive Officer of a private investigation firm in Raleigh, North Carolina. As Deputy Chairman, Mr. Shelton works with the Chairman to set Board goals and objectives along with overall corporate strategy. Mr. Shelton is also a member of the Executive Committee of the Board of Directors.

Henry L. Ines is a member of the Board of Directors, and a member of the Nominating and Governance Committee, and a Shareholder.  Mr. Ines is a global executive with extensive venture capital, cross border advisory, corporate finance and entrepreneur experiences. As an investor, Mr. Ines focuses on FinTech / blockchain and frontier technology ventures based on his VC experiences as a partner at DraperDragon Fund, DFJ Dragon Fund and DragonVenture, Inc. Mr. Ines is also an advisor to multiple blockchain / ICOs and tech startups in Silicon Valley; and also continues to serve as a mentor for accelerators & incubators worldwide. Additionally, Mr. Ines oversees the Global Chamber® San Francisco, a member organization focused on cross border trade and investment, and also routinely lectures at Nanyang Technological University (NTU) in Singapore. Mr. Ines began his career at PriceWaterhouse LLP as a management consultant for Fortune 500 companies. Later, he focused on sell-side M&A and other corporate finance transactions before transitioning to direct investments. Mr. Ines holds a Bachelor's of Science degree in Finance from Pennsylvania State University and an a Master's of Business Administration (MBA) from Duke University's Fuqua School of Business.

Nicole L. Mason, Esq. is Chairman of the Board of Directors, and a Shareholder. Ms. Mason is a licensed lawyer and former prosecutor. She is admitted to practice in Nebraska, Missouri, Kansas and admitted to the U.S. District Court of Nebraska. Ms. Mason is the Founder, Managing Member, and Presiding Counsel of Mason Counsel Group, LLC a Kansas professional Limited Liability Company that is a general counsel law firm. She earned a Bachelor's of Science degree in Psychology at Doane University.  Ms. Mason attended Charlotte School of Law, where she was also the Publication Editor for the Center for Experiential Education and Entrepreneurship. Upon graduation from law school and passing the Bar, she became an Associate Attorney at a small general practice law firm in Nebraska. She also served as Deputy County Attorney and Deputy County Coroner for a Nebraska community. As a prosecutor, Ms. Mason handled misdemeanor and felony cases. Prior to establishing Mason Counsel Group, LLC, Ms. Mason served as Executive Vice-President and General Counsel for a closely-held corporation. In that position, she was responsible for compliance, developing outside counsel relationships with major global firms, building relationships with former members of Congress and former White House officials, and routinely advising management and the Board of Directors. In less than a year, she rose to become Vice-Chairman of the Board of Directors and concluded her tenure as Senior Deputy Chairman. Ms. Mason is a member of the Board of Directors for The Resolution Center (serving a regional 16-county area in Nebraska) and a member of the governing Board of Directors for Community Medical Center in Falls City, Nebraska. As Chairman of the Board of Directors, Ms. Mason oversees the Board and its responsibilities, she is a member of the Executive Committee and Nominating and Governance Committee.

Lauren M. Hickman is Vice-Chairman of the Board of Directors, and a Shareholder. Ms. Hickman is an experienced business and government professional. Prior to joining Guess & Co. Corporation, she has been employed with the Department of Social Services for a large county in North Carolina. Ms. Hickman has held many roles throughout her business career.  She served as Corporate Vice-President and Special Secretary-Treasurer for a closely-held North Carolina company. She eventually became Senior Executive Vice-President and Chief Administrative Officer before ending her tenure with that company. During her employment as Chief Administrative Officer, she was responsible for the completion of over $6 million in transactions and handled ongoing documentation related to acquisitions and corporate compliance. Ms. Hickman earned an Associate's degree in Applied Science and Office Administration from Forsyth Technical Community College. As Vice-Chairman, Ms. Hickman works with the Deputy Chairman to oversee the affairs of the Board of Directors, and she is a member of the Compensation Committee.

David Glenn is a member of the Board of Directors and a member of the Compensation Committee, and a Shareholder. Dr. Glenn is a global technology executive. Most recently he was with International Business Machines as Executive Vice-President and Global Delivery Chief Information Officer providing solutions for NBC Universal. Dr. Glenn served as Interim Chief Information Officer and Chief Integration Officer for Norwegian Cruise Lines. He has over 25 years of experience and served as Vice-President, IT Enterprise Operations for Del Monte Foods and was Interim Chief Information Officer for the National Hockey League. Dr. Glenn is a Six Sigma Greenbelt and he earned an MBA in International Business and a Ph.D. in Global Strategy and Leadership from George Washington University.

Sarah Reddy Brown, Esq. is Senior Deputy Chairman of the Board of Directors and a Shareholder. Ms. Reddy Brown is a licensed lawyer. She is admitted to practice in the State of North Carolina. She earned a Bachelor's degree in Psychology from Clemson University and her law degree from Charlotte School of Law. Prior to joining Guess & Co. Corporation, she worked for a law firm in Charlotte, North Carolina. Ms. Reddy Brown joined Guess & Co. Corporation as Interim Executive Vice-President and Interim Corporate Affairs Officer. In that role, she was responsible for corporate affairs including compliance, corporate development and corporate planning. She also worked closely with the company's in-house legal team and worked with outside legal counsel on various matters. Ms. Reddy Brown also worked on acquisition planning for the company and assisted in developing growth strategies. Following that position, Ms. Reddy Brown was named Interim Deputy President and Interim Chief Executive Officer. In that capacity, she took the lead in directly overseeing day to day operations for the company and implementing the overall corporate strategy. Ms. Reddy Brown was named Interim Vice-Chairman, Interim Deputy President and Interim Chief Executive Officer prior to her current positions. As Senior Deputy Chairman, Ms. Reddy Brown works with the Chairman to oversee the Board of Directors, and she is Chairman of the Executive Committee.
